AGREEMENT TO OUR LEGAL TERMS

We are NPA Roofing Aberdeen, trading as Paul Niculai T/A NPA Roofing Aberdeen ("Company," "we," "us," "our").

We operate nparoofingaberdeen.com, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services"). We provide roofing services, including new roof installation, roof replacement, roof repair, and cement and pointing work, at residential and new-build construction properties.

You can contact us by email at nparoofingaberdeen@gmail.com.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "client"), and NPA Roofing Aberdeen, concerning your access to and use of the Services, including any quote, roofing work, or related project we undertake for you. By accepting a quote or engaging us for a project, you agree that you have read, understood, and agreed to be bound by these Legal Terms. Where a separate written quote or project agreement is agreed between you and us for a specific job, that document sets out the specific scope, price, and timeline for that job, and these Legal Terms apply alongside it. If there is a direct conflict between these Legal Terms and a signed quote or project agreement, the signed quote or project agreement takes priority for that job.

We reserve the right to make changes or modifications to these Legal Terms at any time. We will indicate any changes by updating the "Last updated" date. Continued use of the Services after changes are posted means you accept the revised terms.

OUR SERVICES

The information provided when using the Services is intended for use in the United Kingdom. If you access the Services from another location, you are responsible for compliance with any local laws that apply to you.

QUOTES, MATERIALS, AND SITE CONDITIONS

Quotes are based on the information and access available to us at the time of inspection. If, once work begins, we find conditions that were not visible or reasonably foreseeable at the time of quoting, such as underlying timber rot, structural issues, or unsuitable existing materials, we will let you know as soon as possible and agree any change to the price or scope of work with you before proceeding, where practical to do so.

Materials supplied by us remain our property until paid for in full. Once paid for and fitted, they become part of your property.

If any part of the work requires planning permission, building warrant approval, or other regulatory consent, obtaining that consent is your responsibility unless we have specifically agreed in writing to arrange it on your behalf.

FEES, PAYMENT, AND CANCELLATION

Prices for any roofing project will be set out in a quote agreed with you before work begins. Unless otherwise agreed in writing, a deposit is payable before work starts, with the balance due on completion. If the project is agreed to be paid in stages, the stages and amounts will be set out in the quote or project agreement.

We aim to deliver projects within the timelines agreed with you, but timelines depend on site access, weather conditions (see the section headed Weather, Scaffolding, and Permits), and any third-party approvals needed.

If you are a business rather than a consumer and you wish to cancel a project after work has begun, you remain responsible for payment for work already completed and materials already ordered or fitted at the time of cancellation, calculated on a fair and proportionate basis.

14-DAY CANCELLATION RIGHTS

If you are a consumer, meaning you are contracting with us in a personal capacity rather than as or on behalf of a business, and our contract is agreed away from our business premises (for example, at your property) or at a distance (for example, by email or phone), you have the legal right to cancel within 14 days, without giving any reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. The 14 days end 14 days after the day the contract is agreed. We will give you written cancellation information, including a cancellation form, before you are bound by the contract.

We will not begin work during the 14-day cancellation period unless you ask us to. If you want work to start within that period, you must make that request expressly and in writing (for example, by email or by signing the request on your quote), and you must acknowledge that you will lose your right to cancel once the work has been fully completed. If you then cancel after work has started but before it is completed, you must pay us a reasonable amount for the work carried out and materials supplied up to the time we receive your notice of cancellation, in proportion to the full price of the contract.

EMERGENCY WORKS

If you specifically ask us to visit to carry out urgent repairs (for example, to stop an active leak), you do not have a right to cancel the work needed to deal with the urgent problem. Any additional work that is not urgently needed remains subject to your 14-day right to cancel.

ACCESS TO YOUR PROPERTY AND HEALTH AND SAFETY

You agree to provide reasonable access to your property, including access for scaffolding, vehicles, and materials, as needed to carry out the agreed work. You are responsible for letting us know about anything on site that could affect the safety of the work, including known issues such as asbestos-containing materials, structural weaknesses, or restricted access.

We will take reasonable care to protect your property while work is being carried out, including reasonable steps to protect gardens, driveways, and surrounding areas from damage. Some disturbance, such as noise, dust, or debris, is a normal and unavoidable part of roofing work.

If we use subcontractors to carry out any part of the work, we remain responsible for the standard of the work carried out on our behalf.

GUARANTEES

If we provide a guarantee or warranty on workmanship or materials, its length and terms will be set out in your quote, invoice, or a separate guarantee document. Any guarantee we provide is in addition to, and does not affect, your other legal rights.

USER REPRESENTATIONS

By engaging us for a project, you represent and warrant that you have the legal capacity to agree to these Legal Terms, that you are not a minor, that you are the owner of the property or have the owner's authority to instruct the work, and that any information you provide to us about the property or the work required is accurate and complete to the best of your knowledge.

If you provide any information that is untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate our services to you.

PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to attempt to gain unauthorised access to our systems, use any information obtained from the Services to harass, abuse, or harm another person, upload or transmit viruses or other harmful code through our website, attempt to interfere with or disrupt the Services, or copy, decompile, or reverse engineer any part of our website.

SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms, take appropriate legal action against anyone who violates the law or these Legal Terms, and otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services or while a project agreement between us is ongoing. We may suspend or terminate your access to the Services if you breach these Legal Terms. Termination of a specific project is governed by the cancellation terms above and any project agreement, rather than by this section alone.

MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change or update the Services at any time. We cannot guarantee the Services will be available without interruption, and we will not be liable for loss caused by downtime, except where that loss results from our own negligence or breach of contract.

GOVERNING LAW

These Legal Terms are governed by and construed in accordance with the laws of Scotland, United Kingdom. NPA Roofing Aberdeen and you irrevocably agree that the courts of Scotland have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

DISPUTE RESOLUTION

Informal negotiations

To resolve disputes efficiently, the parties agree to first attempt to negotiate any dispute informally for at least thirty days before initiating legal proceedings, commencing upon written notice from one party to the other.

Resolution by Scottish courts

If a dispute cannot be resolved through informal negotiation, either party may bring a claim before the courts of Scotland, which have exclusive jurisdiction over the dispute.

Exceptions to informal negotiations

Disputes concerning allegations of theft, property damage, or claims for injunctive relief are not subject to the informal negotiation requirement above and may be brought directly before the courts of Scotland.

Nothing in this section affects your statutory right, as a consumer, to bring a claim in the courts of the part of the United Kingdom in which you are domiciled.

CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct these and to update information on the Services at any time.

DISCLAIMER

The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim warranties, express or implied, in connection with the Services, beyond those set out in any guarantee we provide and those that cannot lawfully be excluded. We will use reasonable care and skill in carrying out roofing work, as required by law.

LIMITATION OF LIABILITY

Nothing in these Legal Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under the law of Scotland.

Subject to the above, to the fullest extent permitted by law, our total liability to you for any claim arising from a project, whether in contract, tort, or otherwise, will be limited to the total price paid by you for that project, except in relation to loss or damage covered by our public liability insurance, where our liability will be as covered by that policy. This limitation does not apply to the exclusions in the paragraph above.

YOUR CONSUMER RIGHTS

If you are a consumer, meaning you are entering into a contract with us in a personal capacity rather than in the course of business, the Consumer Rights Act 2015 gives you certain rights that this document cannot override, including the right to have services carried out with reasonable care and skill, within a reasonable time, and for a reasonable price where no price has been agreed, and for any materials supplied to be of satisfactory quality. Nothing in these Legal Terms limits those rights.

If our contract with you was agreed away from our business premises, for example at your home, you generally have the right to cancel the contract within fourteen days of agreeing to it under the Consumer Contracts Regulations 2013. If you ask us to begin work before that fourteen day period ends, you may still owe payment for work carried out and materials used up to the point of cancellation. We will explain these rights clearly, and provide the required cancellation information, before any project begins where they apply.

INDEMNIFICATION

You agree to indemnify us against any loss, damage, or liability, including reasonable legal costs, arising from your breach of these Legal Terms, or your failure to disclose known site hazards or property issues relevant to the safe carrying out of the work. This indemnification does not apply to the extent any loss arises from our own negligence or breach of these Legal Terms.

ELECTRONIC COMMUNICATIONS

Visiting the Services, emailing us, and completing online forms constitute electronic communications. You consent to receive electronic communications from us, and you agree that electronic agreements and notices satisfy any legal requirement that such communication be in writing.

PHOTOGRAPHS OF COMPLETED WORK

If we take photographs of work carried out at your property for our own records or for use in marketing, this is covered by our Privacy Notice. We will seek your consent before using any photograph in which your property is identifiable in marketing materials.

MISCELLANEOUS

These Legal Terms, together with any signed quote or project agreement, constitute the entire agreement between you and us regarding the Services. Our failure to enforce any right or provision does not waive that right. If any provision is found unlawful or unenforceable, that provision is severed and the remaining provisions continue in effect. Nothing in these Legal Terms creates a partnership, joint venture, or employment relationship between you and us.
